Terms and conditions
The prices shown on the pricing page at the time the contract is concluded apply; all prices are net prices plus statutory VAT and are one-time payments — this is not a subscription. The German version is legally authoritative.
§ 1 Scope and contracting party
These General Terms and Conditions apply to all orders of the white-label prediction-game platform “Business-Tippspiel” via business-tippspiel.de, whether placed as a business customer (company/club prediction game) or as a consumer (private package).
The contracting party is Sebastian Bischoff, trading as “KIIT Solutions”, Paul-Klee-Weg 53A, 48165 Münster, Germany (the “Provider”). Any deviating terms of the customer are rejected unless the Provider expressly agrees to them in writing.
§ 2 Subject matter of the contract
The Provider makes available to the customer a prediction-game instance styled in the customer’s corporate design for a chosen competition (season or tournament), including automatically imported fixtures and results. Scope and features depend on the package chosen (Standard, Pro, Max or Ultra), the chosen category (company, club or private), and any add-ons booked, as described on the pricing page at the time of order.
§ 3 Conclusion of contract
The presentation of packages on the website does not constitute a binding offer by the Provider, but a non-binding invitation for the customer to submit an offer. By completing the order process and clicking the “order with obligation to pay” button (or an equivalent label), the customer submits a binding offer. The Provider confirms receipt of the order by email without delay; this acknowledgement of receipt does not yet constitute acceptance of the offer. The contract is concluded once the Provider accepts the offer through a separate order confirmation or by providing the ordered service (setting up the instance).
§ 4 Prices and payment
The prices shown on the pricing page at the time of order apply . Towards consumers (§ 13 BGB) prices are stated as total prices inclusive of statutory VAT; towards businesses (§ 14 BGB), legal entities under public law and special funds under public law as net prices plus the applicable statutory VAT. These are one-time payments per booked season or tournament, not a subscription with automatic renewal.
The customer may choose among the payment methods offered at the time of order (including card/online payment via Stripe, PayPal, payment by invoice, or advance bank transfer). For payment by invoice or advance bank transfer, the invoiced amount is due within the period stated on the invoice, typically 14 days.
§ 5 Term and provisioning
The booked prediction-game instance is provided for the duration of the chosen season or tournament and ends automatically when it ends, without the customer needing to give notice. There is no automatic renewal; a follow-on booking requires a new order.
Setting up the instance in the customer’s corporate design (logo, colours, optionally a custom domain) requires the customer’s timely cooperation, in particular providing brand material. Delays arising from the customer’s late cooperation are not the Provider’s responsibility.
The customer is obliged to provide, completely and in good time, all information, documents and content required to set up the prediction-game instance (in particular logos, colour values and other brand material). Delays arising from the customer’s late or incomplete cooperation extend any provisioning deadlines accordingly. The Provider is not liable for delays arising from this.
§ 6 Brand material and customer rights
The customer warrants that it holds all rights necessary in any content it uploads (e.g. logo, imagery, product data). The customer indemnifies the Provider against any and all third-party claims, including reasonable legal defence costs, insofar as these arise from a culpable breach of this warranty.
§ 7 Warranty
The statutory warranty rights apply. Because fixtures and results are supplied via an external sports-data interface, uninterrupted or error-free data delivery cannot be guaranteed; the Provider makes reasonable efforts to resolve disruptions promptly.
No specific level of platform availability is owed unless expressly agreed otherwise. The Provider is entitled to carry out maintenance work and technically necessary interruptions insofar as this is required for the proper operation or security of the platform.
§ 8 Right of withdrawal for consumers
⚠️ This section applies only to customers ordering as a consumer (§ 13 BGB), in particular under the private package. Company and club customers acting as a business (§ 14 BGB) do not have a right of withdrawal.
Right of withdrawal: You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract was concluded. To exercise your right of withdrawal, you must inform us (Sebastian Bischoff, trading as “KIIT Solutions”, Paul-Klee-Weg 53A, 48165 Münster, Germany, phone: +49 151 74447683, email: [email protected]) by means of a clear statement (e.g. a letter sent by post or an email) of your decision to withdraw from this contract. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
You can also exercise your right of withdrawal online at https://business-tippspiel.de/konto/bestellungen. If you use this withdrawal function, we will send you confirmation of receipt of your withdrawal on a durable medium (e.g. by email) without undue delay.
Effects of withdrawal: If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than fourteen days from the day on which we receive notice of your withdrawal from this contract. We will use the same means of payment as you used for the original transaction, unless expressly agreed otherwise with you; in any event, you will not incur any fees as a result of such reimbursement.
Special note on early start: If you have expressly requested that provisioning of your prediction-game instance begin already during the withdrawal period, you must pay us a reasonable amount corresponding to the proportion of services already provided by the time you inform us of your withdrawal, compared with the full scope of services covered by the contract. Your right of withdrawal for a service contract only expires early if we have performed the service in full and only began performance after you gave express consent and simultaneously confirmed your knowledge that you would lose your right of withdrawal upon full performance. Since a season or tournament instance runs over weeks or months, this case of full performance does not in practice occur shortly after conclusion of the contract.
You can also find the complete right-of-withdrawal notice with the model withdrawal form at any time on the dedicated “Withdrawal” page.

§ 8a Changes to the service
The Provider is entitled to further develop or technically adapt the platform and individual features, provided that the contractually owed scope of services is not materially impaired and the changes are reasonable for the customer.
§ 9 Liability
The Provider is liable without limitation for intent and gross negligence, under the German Product Liability Act, and for injury to life, body or health. For slightly negligent breach of material contractual obligations (cardinal obligations), the Provider’s liability is limited to the foreseeable damage typical for this type of contract. Liability for slight negligence is otherwise excluded.
The foregoing limitations of liability also apply for the benefit of the Provider’s legal representatives, employees and vicarious agents.
§ 10 Data protection
For information on the processing of personal data, see our privacy policy.
§ 11 Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods; for consumers, this applies only insofar as it does not restrict mandatory provisions of the law of their habitual residence. If the customer is a business within the meaning of § 14 BGB (German Civil Code), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for any and all disputes arising from or in connection with this contract is the Provider’s registered place of business.
Should any provision of these terms be or become invalid, the validity of the remaining provisions is unaffected.
